Bit2Flash Project Terms & Conditions

These Terms and Conditions were last updated in October 2026. Please read them carefully before using our services.

1. Scope of Work & Revisions

Website Projects:

  • Page Count: The specific number of website pages included is outlined in your individual project quote. Any additional pages requested above those quoted will be agreed upon in advance and billed at our standard per-page rate.

  • Included Revisions: One round of design revisions is included within the quoted price. Additional revisions or structural changes are charged at our standard hourly rate.

  • Software Licences (Elementor Pro, Astra Pro, etc.): Premium tools provided as part of your build (including Elementor Pro, Astra Pro, and Use Any Font) are covered under Bit2Flash’s agency developer accounts for as long as your website is active on our hosting or care plan.

  • Hosting & Maintenance: Maintenance covers backend theme and plugin updates, security monitoring, and minor technical fixes. Content changes, new pages, or structural edits are not included and will be quoted separately. No refunds are offered if you migrate away before the end of a paid period.

  • Training & Exclusions: Video training is provided for managing standard site elements (e.g. blog posts, portfolio items). Unless explicitly quoted, copywriting, stock imagery licensing, ongoing SEO, and third-party software subscriptions are excluded.

Branding Projects:

  • Deliverables & Concepts: Specific deliverables (e.g. logo suite, colour palette, typography, brand guidelines) will be detailed in your individual project quote, alongside the number of initial concepts presented.

  • Included Revisions: Up to two (2) rounds of revisions are included within the quoted price, applied to the single chosen concept. Additional rounds or structural pivots are charged at our standard hourly rate.

  • Selected Concept Limit: Your quote covers final master files and copyright transfer for one (1) chosen design concept. All initial concepts, sketches, and unused draft variations remain the exclusive intellectual property of Bit2Flash.

  • Purchasing Additional Concepts: If you wish to acquire the rights and final file formats for more than one design concept presented, additional concepts may be purchased for an extra fee (agreed upon and invoiced prior to delivery).

  • Font & Print Licensing: You are responsible for purchasing any required desktop or web licences for commercial fonts used in your brand assets. Bit2Flash is not liable for printing errors or costs from third-party print providers; physical proofs are strongly recommended before full production runs.

2. Timelines & Client Responsibilities

  • Project Timelines: Project schedules rely on prompt communication and timely asset delivery. Official work begins only once the initial deposit has cleared and required onboarding assets (questionnaires, copy, or media) are provided.

  • Milestone Deadlines: For web projects, homepage copy must be provided by Week 2, and all remaining content by Week 3 via the designated Google Drive folder. Feedback on drafts/concepts for any project is required within 7 days of delivery.

  • Project Pauses: If content, feedback, or approvals are delayed significantly without prior arrangement, your project may be paused and removed from our active schedule.

  • Extended Inactivity & Restart Fees: Projects left inactive or unacknowledged for an extended period (typically 30 days or more) will be formally placed on hold and require a £250 restart fee to reschedule and reactivate.

  • Contract Expiry: If a project remains inactive for longer than 60 days, Bit2Flash reserves the right to terminate the agreement. All payments made to date are non-refundable, and completed work will be delivered “as is.” Recommencing work after termination will require a new proposal and quote.

3. Payments, Delivery & Launch

Website Payment Schedule:

  • Standard Projects (On Track): 50% deposit upfront before work begins; remaining 50% balance due upon project completion prior to site launch.

  • Delayed Projects (6-Week Mark): If a project extends beyond 6 weeks due to client delays, missing content, or slow feedback, a mid-way payment of 25% will be invoiced at the 6-week mark.

  • Long-Stop / Incomplete Projects (12-Week Mark): If a project remains uncompleted at the 12-week mark due to client delays, the final 25% balance will become due immediately, regardless of launch status. In addition, a £150 Project Extension Fee will be applied, payable when the website is ready to launch.

  • Launch Requirement: The website will not be migrated to your live domain, handed over, or published until all invoices and applicable extension fees are paid in full.

Branding Payment Schedule:

  • 50% deposit required upfront before design work begins.

  • Final 50% balance due upon final concept approval, prior to the release of master artwork files (vector EPS/SVG, PDF, PNG/JPG). Native source working files (e.g. Adobe Illustrator files) are not included unless explicitly agreed in writing.

General Payment Terms:

  • Refunds: Deposits and interim milestone payments are strictly non-refundable once work has commenced.

  • Late Payments: Overdue invoices are subject to statutory interest and compensation charges under the Late Payment of Commercial Debts (Interest) Act 1998. Active work will pause until overdue balances are cleared.

4. Ownership, Copyright & Trademarks

  • Transfer of Rights: Full ownership and copyright of the final chosen website code/design or single branding concept transfer to you only after full and final payment has cleared.

  • Trademarks & Legal Clearances: Bit2Flash creates original design work, but we do not carry out legal trademark or registry searches. Ensuring your business name or logo can be registered and used legally remains your responsibility.

  • Portfolio Usage: Bit2Flash retains the right to display completed websites, branding assets, sketches, and case studies in our portfolio, marketing materials, and social media channels.

5. Warranties, Compliance & Liability

  • 30-Day Bug-Fix Warranty (Websites): Bit2Flash provides a 30-day warranty following the live launch to fix technical bugs within the agreed scope. This excludes issues caused by client edits, third-party plugin updates, theme modifications, or external hacking attempts after handover.

  • GDPR & Legal Compliance: You are responsible for ensuring all provided content has proper licences and that your business complies with applicable data laws (including UK GDPR), providing your own Privacy Policy and Cookie Policy where required.

  • Limitation of Liability: While work is carried out to professional industry standards, Bit2Flash provides no guarantees regarding search engine rankings, conversion rates, or 100% server uptime, and accepts no liability for indirect losses or third-party service failures.

6. Termination & Offboarding

  • Either party may terminate ongoing hosting or maintenance agreements by providing 2 months’ written notice. Prepaid hosting or maintenance fees are non-refundable.

  • Licence Deactivation: Upon moving away from Bit2Flash hosting or maintenance, all Bit2Flash developer agency licences (Elementor Pro, Astra Pro, etc.) will be deactivated. You will be responsible for purchasing individual software licences to ensure continued security updates and support.

  • In the event of project termination prior to completion, all monies paid remain non-refundable, and any unpaid work completed remains the intellectual property of Bit2Flash.
